Terms of Service

1. Eligibility

1.1 Age Requirement: You must be at least 13 years of age to create an account or use the Service. Rowdi does not knowingly collect or solicit information from anyone under the age of 13. If we learn that we have collected personal information from a child under 13, we will delete that information as quickly as possible.

1.2 Minors: If you are between the ages of 13 and 18 (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. As a parent or guardian, you agree to be bound by these Terms if you permit your child to use the Service.

1.3 Compliance: By using Rowdi, you represent and warrant that: You have the legal capacity to enter into a binding contract; You are not barred from receiving the Service under the laws of the United States or any other applicable jurisdiction; and You will comply with these Terms and all local, state, national, and international laws, rules, and regulations.

1.4 Restricted Users: You may not use Rowdi if you have been previously banned or removed from the Service for a violation of our Terms or Community Guidelines.

2. Account Registration

2.1 Account Creation: To access the core features of Rowdi, including the Virtual Arena and R.E.P. accumulation, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.2 Responsibility: You are solely responsible for safeguarding your account credentials (including passwords or third-party login tokens). You are responsible for all activity that occurs under your account, whether or not you authorized that activity. You must immediately notify Rowdi Inc. at support@rowdi.co of any unauthorized use of your account.

2.3 One Account Per User: To maintain the integrity of the R.E.P. leaderboards and referral incentives, each user is permitted to maintain only one (1) active account. Rowdi reserves the right to merge or terminate accounts if we have reasonable grounds to believe a single user is operating multiple profiles to manipulate platform metrics.

2.4 Username Policy: You may not use a username that is the name of another person or entity that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, or a name that is otherwise offensive, vulgar, or obscene. Rowdi reserves the right to reclaim usernames on behalf of businesses or individuals that hold legal claim or trademark over those names.

3. User-Content & License

3.1 Ownership: You retain all ownership rights in the content you create and post on the Service, including rants, comments, images, videos, and other media (User Content). Rowdi does not claim ownership of your User Content.

3.2 License Grant: By posting User Content on Rowdi, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content solely in connection with the operation, promotion, and improvement of the Service.

Clarification on Third-Party Marks: This license does not grant Rowdi ownership over any third-party trademarks (such as team logos) that may appear within User Content. Any display of third-party marks by Rowdi in the context of redistributing User Content is for the purpose of nominative identification of the fan community or event to which the content relates. This license ends when you delete your User Content or your account, except where content has been shared with others or archived within a Virtual Arena.

3.3 Responsibility: You represent and warrant that you own your User Content or have the necessary licenses and permissions to post it. You are solely responsible for your User Content and the consequences of posting it. Rowdi Inc. does not endorse any User Content and explicitly disclaims any and all liability in connection with User Content.

3.4 Section 230 Protection: Rowdi is an interactive service provider under 47 U.S.C. § 230. We do not pre-screen all User Content, and we are not liable for any User Content posted by users. We reserve the right, but are not obligated, to monitor, edit, or remove User Content that violates these Terms or our Community Guidelines.

3.5 Public Nature of Content: Most User Content posted to a Team Hub or the Virtual Arena is public by default. You should have no expectation of privacy regarding content you post in these public-facing areas of the Service.

4. R.E.P. & Prizes

4.1 Nature of R.E.P.: Rowdi’s Engagement Points System (R.E.P.) is a proprietary engagement metric used to measure fan loyalty and platform participation. R.E.P. are not a form of currency, have no monetary value, and do not constitute property of the user. R.E.P. cannot be purchased, sold, traded, or redeemed for cash from Rowdi Inc.

4.2 Earning & Tiers: R.E.P. are earned through platform interactions (e.g., rants, rerants, Arena participation) as determined by Rowdi’s proprietary algorithms. These points may be used to determine a user’s Fan Tier (e.g., Bandwagon to Superfan). Rowdi reserves the right to change the weight of certain actions or the requirements for Tiers at any time without notice.

4.3 Prize Eligibility & In-App Economy: Rowdi may, from time to time, offer digital codes, third-party merchandise, vouchers, or Arena MVP rewards to users meeting specified engagement milestones through our API integrations.

• Merit-Based: All rewards and brand gift cards are automated and awarded based entirely on engagement metrics as calculated natively by our backend server architecture.
• Platform Discretion: We reserve the right to withhold code deliveries or void accumulated point structures if our event streams flag fraudulent system interactions, botting, duplicate profiles, or multiple network redemptions.
• Third-Party Fulfillment Disclaimer: Third-party gift vouchers (including dining, delivery, or apparel networks) are generated on-demand through digital incentive interfaces. Rowdi Inc. operates completely independent of the physical brand merchants and holds no liability regarding the quality, shipping schedules, safety, or activation limits of external retail gift items.

4.4 Forfeiture, Seasonal Expirations, and Rep Debt: Rowdi reserves the right to reset or deduct R.E.P. balances at our sole discretion. To align with active athletic calendars, point balances operate under rolling seasonal expirations and disappear permanently upon the completion of their targeted league schedule. If your profile content is removed for community guideline infractions after point assets have been spent, your account will enter **Rep Debt (Negative Balance)**. Accounts under a negative balance will remain completely locked out of the reward features until positive engagement metrics square the platform ledger.

5. Virtual Arenas

5.1 Definition & Purpose: Virtual Arenas are time-limited, event-driven digital spaces designed to facilitate real-time discussion and engagement between fans during specific sports matchups. The Arena is a forum for user expression, and its existence does not imply a partnership between Rowdi and the participants of the event.

5.2 Nominative Use of Marks: You acknowledge that the names, logos, and colors of sports teams, leagues, or institutions appearing within the Arena are utilized solely for nominative identification purposes. This use is strictly to help users identify the specific community, matchup, or event they wish to engage with. Rowdi makes no claim of ownership, sponsorship, or affiliation with these third-party entities.

5.3 Arena Access & Gating: Access to certain Arenas or specific features within an Arena may be restricted based on your R.E.P. level or Fan Tier. Rowdi reserves the right to gate entry to ensure the quality of the conversation and to reward high-loyalty fans.

5.4 Content Expiration: Arenas are temporary. Once an Arena closes (typically following the conclusion of the sporting event), Rowdi reserves the right to archive or delete the associated User Content. You should not rely on the Arena as a long-term storage solution for your media.

5.5 The Arena MVP: During specific matchups, Rowdi may designate an Arena MVP based on the highest REP-gain during the live window. The determination of the MVP is final and is based on our proprietary engagement algorithms.

6. DMCA Policy

6.1 Reporting Infringement: Rowdi Inc. respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act (DMCA), we will respond expeditiously to claims of copyright infringement committed using the Rowdi Service that are reported to our Designated Copyright Agent.

6.2 Formal Notice: If you are a copyright owner, please report alleged infringements by providing a written DMCA Notice of Alleged Infringement to our agent at copyright@rowdi.co. Your notice must include: Identification of the copyrighted work claimed to have been infringed; Identification of the material that is claimed to be infringing (including the specific Arena or Hub URL/ID); Your contact information; A statement that you have a good faith belief that use of the material is not authorized; A statement, under penalty of perjury, that the information in the notice is accurate; and a physical or electronic signature of the owner or authorized agent.

6.3 Takedown Procedure: Upon receipt of a valid DMCA Notice, Rowdi reserves the right to remove or disable access to the infringing content. We will make a good-faith effort to notify the user who posted the content so they may file a counter-notice.

6.4 Counter-Notice: If you believe your content was removed by mistake, you may submit a written counter-notice to copyright@rowdi.co. If a valid counter-notice is received, Rowdi may restore the content unless the copyright owner files a court action against the user.

6.5 Repeat Infringer Policy: Rowdi maintains a zero-tolerance policy for repeat infringers. We reserve the right to permanently terminate the accounts of users who are found to have repeatedly violated the intellectual property rights of others.

7. Verification & Official Accounts

7.1 Verification Status: Rowdi may grant Verified badges (e.g., a neon checkmark or official icon) to certain accounts to confirm their identity. This status is typically reserved for high-profile athletes, coaches, sports organizations, members of the media, and official campus partners.

7.2 Discretionary Granting: The granting of a Verified badge is at the sole discretion of Rowdi Inc. Verification is not a right, and it cannot be purchased through R.E.P. or any other means unless explicitly stated as part of an official Rowdi subscription tier.

7.3 Impersonation Prohibited: You are strictly prohibited from misrepresenting your identity or affiliation. This includes, but is not limited to: Using a profile picture, username, or bio that mimics a real-world athlete, coach, or official entity without authorization; or Claiming to be a Team Manager or Rowdi employee without being officially designated as such by the Service.

7.4 Revocation of Status: Rowdi reserves the right to remove a Verified badge or Official status at any time, without notice, if the user changes their account details to falsely suggest a change in identity, or if the account is used to spread misinformation, harass others, or violate our guidelines.

7.5 Team Manager Status: Team Manager status is an earned designation based on R.E.P. and community standing. While Team Managers hold moderation privileges, they are not employees or official representatives of Rowdi Inc. Their views and actions do not reflect those of the company.

8. Prohibited Conduct

8.1 Illegal Use: You agree not to use the Service for any unlawful purpose or in violation of any local, state, national, or international law.

8.2 Platform Integrity & Anti-Scraping: To protect our proprietary data and user privacy, you are strictly prohibited from: Using any robot, spider, scraper, or other automated means to access, monitor, or copy any part of the Service; Attempting to bypass any technical barriers, including CAPTCHAs, IP blocks, or rate-limiting systems; or Interfere with systems via Denial of Service (DoS) style queries.

8.3 Platform Manipulation (Anti-Botting): You may not engage in activities designed to artificially manipulate Rowdi metrics, including: Using automated scripts to generate fake rants, likes, or rerants; Selling, buying, or trading accounts, usernames, or R.E.P.; or Creating dummy accounts to inflate a team's standing or your own Fan Tier.

8.4 Community Safety & Harassment: While we encourage competitive trash talk in the Arena, you agree not to: Harass, stalk, or threaten other users, athletes, or coaches; Post doxing information; Upload content promoting violence or self-harm; or use the service to coordinate hate speech based on race, ethnicity, religion, gender, or sexual orientation.

8.5 Commercial Solicitation: You may not use Rowdi to send spam, unsolicited advertising, or promotional materials (e.g., links to betting sites or unapproved merchandise) without our prior written consent.

9. Limitation of Liability

9.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROWDI INC., ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

9.2 UNDER NO CIRCUMSTANCES WILL ROWDI INC. BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT.

9.3 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROWDI INC. ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICE (INCLUDING ATTENDANCE AT PHYSICAL EVENTS DISCUSSED IN AN ARENA); (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; AND (IV) ANY USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.

9.4 IN NO EVENT SHALL ROWDI INC., ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES, OR COSTS IN AN AMOUNT EXCEEDING THE GREATER OF THE AMOUNT YOU PAID TO ROWDI INC. HEREUNDER OR $100.00.

10. Indemnification

10.1 Your Obligation: You agree to indemnify, defend, and hold harmless Rowdi Inc., its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from: (a) Your User Content; (b) Your use or misuse of the Service; (c) Your violation of these Terms; (d) Your violation of any third-party rights; or (e) Any misrepresentation made by you in connection with your account.

10.2 Control of Defense: Rowdi Inc. reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with our defense of these claims. You may not settle any claim that impacts Rowdi Inc.’s rights or reputation without our prior written consent.

11. Governing Law & Class Waiver

11.1 Governing Law: These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the internal laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule.

11.2 Exclusive Jurisdiction: You irrevocably agree that the state and federal courts located in the State of Delaware shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or the Service.

11.3 Informal Dispute Resolution: Before filing a formal legal claim, you agree to try to resolve the dispute informally by contacting legal@rowdi.co. We will attempt to resolve the dispute with you via email or phone within thirty (30) days of receiving your notice.

11.4 Class Action Waiver: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND ROWDI INC. AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE THE RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER IN ANY CLASS ACTION AGAINST US.

12. General Provisions

12.1 Changes to Terms: Rowdi Inc. reserves the right to modify or update these Terms at any time. If we make material changes, we will notify you through the Service or via email. Your continued use of the Service after changes become effective constitutes your acceptance of the new Terms.

12.2 Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Rowdi Inc. regarding the Service and supersede all prior agreements or understandings.

12.3 Severability: If any provision of these Terms is found to be unenforceable or invalid by a court, that provision will be limited or eliminated to the minimum extent necessary so that the rest of the Terms remain in full force and effect.

12.4 No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12.5 Assignment: You may not assign your rights under these Terms to any third party. Rowdi Inc. may assign its rights and obligations under these Terms at its discretion.
